Penn National to Purchase Harrah’s Maryland Heights

Maryland Heights, MO and Wyomissing, PA (May 7, 2012) Penn National Gaming, Inc. (PENN: Nasdaq) announced today that it has entered into a definitive agreement to acquire the stock of the Harrah’s St. Louis gaming and lodging facility from Caesars Entertainment (CZR: Nasdaq) for total consideration of approximately $610 million. The transaction price represents a multiple of approximately 7.75 times the property’s trailing twelve month EBITDA (earnings before interest, taxes and depreciation) and will be funded through an add-on to Penn National’s existing Senior Secured Credit Facility.  While the acquisition is a stock transaction, for tax purposes, it will be treated as an asset transaction which Penn National expects will provide tax benefits that will effectively reduce the purchase multiple to 6.75 times the property’s trailing twelve month EBITDA.Pro forma for the completion of the transaction, Penn National Gaming’s total debt to EBITDA leverage ratio will increase to 3.25 times from 2.75 times (at March 31, 2012).

 

The transaction,expected to close in the second half of 2012, is subject to customary closing conditions and regulatory approvals and upon closing, Penn National will re-brand Harrah’s St. Louis with the Company’s Hollywood-themed brand. 

 

Harrah’s St. Louis is located in Maryland Heights, Missouri, directly off I-70 and adjacent to the Missouri River and approximately 22 miles northwest of downtown St. Louis, approximately eight miles west of Lambert St. Louis International Airport, and approximately 25 miles southwest of the Penn National’sArgosy Casino Alton.  The facility is situated on over 294 acres along the Missouri river and features approximately 109,000 square feet of gaming space with approximately 2,600 gaming machines and 85 table games (including poker positions),a 500 guestroom hotel, nine dining and entertainment venues and structured and surface parking for 4,644 vehicles.

Missouri’s fallen law enforcement officers to be honored during annual ceremony at State Capitol

Seven who died in the line of duty in 2011 will be remembered

JEFFERSON CITY – The Department of Public Safety announces events will be held on May 4 and 5 at the Law Enforcement Memorial, on the grounds of the State Capitol, to honor Missouri law enforcement officers who died in the line of duty.

On Saturday, May 5, the names of nine law enforcement officers who died in the line of duty will be added to the Law Enforcement Memorial Wall, north of the Capitol, overlooking the Missouri River. Seven of the officers died in 2011; two other officers, who died during 2010, will also have plaques bearing their names installed in the memorial wall.

Families of the fallen and law enforcement agencies from across Missouri participate in this annual event by placing wreaths at the memorial wall. Gov. Jay Nixon and Attorney General Chris Koster are both scheduled to be among those making remarks at the solemn ceremony. 

On Friday, May 4, a candlelight vigil in honor of all Missouri law enforcement officers who have died in the line of duty will be held at the Law Enforcement Memorial. 

In case of inclement weather, the ceremonies will be held in the Capitol Rotunda.

Gambling and the NFL

Here is a portion of the Associated Press story-

The NFL will allow teams to accept advertisements for casinos and other state-licensed gambling-related establishments during the next two seasons.

Those ads can appear only in game programs, on local radio broadcasts and in the upper bowl and inner concourses of stadiums.

The league told the 32 clubs on Thursday that the change in policy will allow such advertising on a limited basis from casinos in their markets. After the subject was discussed at last month's owners meetings, the league reviewed how other sports handle casino advertising, did fan research, analyzed likely impact of recent gambling-related legislative developments and surveyed all 32 franchises.

"We remain steadfast in our opposition to the proliferation of gambling on NFL games," NFL spokesman Brian McCarthy said. "There is a distinction between accepting advertising in a limited fashion and gambling on the outcome of our games."

No employees of the NFL and its teams, including players and coaches, can endorse or appear in any advertisements for any form of gambling.

Self-banned gamblers get chance to test their luck again

For the first time since it was implemented in 1996, gamblers in Missouri now have a way to remove themselves from the state's voluntary casino exclusion list.

The Missouri Gaming Commission today made forms available to start the removal from the "disassociated persons" list. Any gambler who's been on the list for five years is eligible.

"We’re asking that you fill out a one-page petition and send it to us in Jefferson City," said LeAnn McCarthy, the spokeswoman for the Missouri Gaming Commission, which oversees the DAP. "We’ll process these forms and send back written confirmation that your name has been removed from the list. And people will want to wait for the written confirmations before they go back to the state’s riverboat gaming casinos."

McCarthy says the Commission fielded a number of calls from people looking to get off the DAP.  And she says a few callers wanted information about putting themselves on the list.

"Missouri was one of only three states with the only option for exclusion being a lifetime ban," McCarthy said. "And we heard from a lot of people that a shorter option may be more inviting because lifetime is an intimidating amount of time."

The DAP is separate from the so-called "black list" of people who are banned from casinos for engaging in criminal activity related to gambling. They cannot be removed from that list.

Woman arrested after pouring gasoline on casino floor

MARYLAND HEIGHTS, Mo. (KMOV) – A woman was arrested for allegedly pouring gasoline onto the floor at Harrah’s Casino on Thursday morning.

Officials say the gaming floor was closed for nearly an hour for cleanup.

The woman was later arrested on Thursday afternoon. 

No other information is available at this time.
